These Terms of Service govern use of the kalimiora website and the provision of legal advisory services to businesses. kalimiora provides professional legal support, advisory services, document drafting, compliance assistance and representation coordination. By using kalimiora.pro or engaging our services, you accept these terms. Services and interactions are regulated by applicable Thai law and by the contract formed between kalimiora and the client. Our relationship is governed by professional standards and ethical obligations applicable in Thailand.
Eligibility and capacity
Access to kalimiora services is available to individuals and entities authorized to enter into binding agreements under applicable law. Corporate clients must be properly formed and have authorized representatives who can bind the entity. Where services have legal age requirements, you must be at least 18 years old or the legal equivalent in your jurisdiction to enter into agreements with kalimiora.
Clients and representatives engaging our services must be at least 18 years of age or have legal capacity to retain professional legal services in Thailand.
Services must be requested and used for lawful purposes only. You agree not to use kalimiora services to facilitate illegal activity, infringement of third-party rights, or to submit fraudulent information.
kalimiora primarily provides services related to Thai law and business operations in Thailand. Availability of specific services may be restricted in certain jurisdictions by local regulations or export controls; prospective clients should confirm eligibility before engaging.
Accounts and registrations
To access certain features or receive tailored services you may be required to register an account or provide corporate details. Accurate and current information enables effective delivery of legal services and compliance management.
You are responsible for providing accurate, complete and current information. Notify kalimiora promptly of any changes that could affect the services provided or our ability to communicate with you.
You are responsible for maintaining the confidentiality of account credentials and for all activities that occur under your account. Promptly report any unauthorized use or suspected security breach to kalimiora by contacting our office.
Accounts are personal to the registered user or entity and may not be transferred or assigned without kalimiora's prior written consent.
If you suspect your account has been compromised, notify kalimiora immediately at +66986389781 or via the contact form at kalimiora.pro. Provide details to help us secure the account and contribute the incident.
kalimiora reserves the right to suspend or restrict access to services where there is reasonable suspicion of fraud, abuse, or violation of these terms, pending contribute.
Scope of services
kalimiora offers legal advisory services to businesses including corporate structuring, contract drafting and review, regulatory and compliance advice, employment law counseling, intellectual property counseling, due diligence, and coordination of dispute resolution. Services are provided by qualified professionals based on the scope agreed in the engagement letter. Advice is tailored to the facts and documents provided by the client; kalimiora's role is to apply legal expertise to those facts and to advise on potential legal paths and risks.
Service offerings, delivery methods, and personnel may change over time. Any material change affecting an ongoing engagement will be communicated and, where necessary, reflected in an updated engagement agreement.
Availability of specific services depends on staff capacity, regulatory permissions, and conflicts of interest. kalimiora will disclose any limitations prior to commencing work and will not accept engagements it is not professionally equipped to handle.
Acceptable use rules
When using kalimiora.pro or engaging our services you agree to comply with the following rules to preserve professional standards and platform integrity.
- Do not use the services to engage in unlawful, fraudulent, or malicious activities.
- Provide truthful, accurate and complete information when requested; do not impersonate others.
- Do not attempt unauthorized access to kalimiora systems, accounts, or data belonging to others.
- Do not submit content that infringes intellectual property rights or violates confidentiality obligations.
- Do not upload or transmit materials containing malware, unsolicited advertising, or spam.
- Respect the professional and ethical nature of legal communications and avoid abusive or harassing conduct toward kalimiora staff.
- Comply with any additional rules set out in engagement agreements governing specific services.
Client materials and user content
Clients may provide documents, data, and other materials necessary for kalimiora to deliver services. Such client materials are considered user content for the purposes of this agreement.
You retain ownership of client-provided materials and rights in your proprietary information subject to applicable third-party rights and confidentiality obligations, unless otherwise agreed in writing.
By submitting materials to kalimiora you grant kalimiora a non-exclusive, limited license to use, reproduce and process such materials solely for the purpose of providing the contracted services and for internal recordkeeping.
Clients are responsible for ensuring they have the right to provide materials to kalimiora and that content does not violate laws, third-party rights or contractual obligations. kalimiora is entitled to rely on the accuracy of materials supplied by the client.
If you request removal or return of client materials, kalimiora will comply subject to retention necessary for legal, regulatory or professional obligations and settlement of outstanding fees.
Intellectual property rights
All intellectual property rights in the kalimiora website, branding, methodologies, templates and proprietary materials remain the property of kalimiora or its licensors. Use of these materials is permitted only as expressly provided in writing.
- You may not copy, modify, distribute or create derivative works from kalimiora proprietary materials without written permission.
- Reverse engineering, decompiling or attempting to derive source code or confidential methodologies is prohibited.
- Do not remove, obscure or alter any activity, copyright notices, or other proprietary legends on materials provided by kalimiora.
Paid services and billing
Certain kalimiora services are provided on a paid basis consistent with engagement terms. Fees are set out in engagement letters, proposals or invoices and reflect the scope of work, complexity, and professional resources required.
Pricing is determined per engagement and may be fixed-fee, hourly, or milestone-based. Estimates or quotations are provided in writing; final fees depend on actual scope and effort unless a fixed fee is agreed.
Invoices are payable according to the terms stated on the invoice. Payment methods accepted include bank transfer in THB, credit card via secure processors, and other methods agreed in writing. Payments must be made without set-off unless expressly agreed.
Where subscription or retainer services apply, renewal and cancellation terms will be specified in the engagement agreement. Recurring billing will continue until terminated in accordance with the contract.
Refunds are considered case-by-case in accordance with the engagement agreement and applicable professional rules. Fees for services already performed are generally non-refundable; unused retainers may be returned subject to accounting for time spent and disbursements.
Either party may terminate an engagement in accordance with the termination provisions of the engagement agreement. Notice requirements and wind-down obligations will be set out in the engagement letter.
Fees are exclusive of applicable taxes and duties. Clients are responsible for VAT, withholding taxes or other taxes where required by law. kalimiora will invoice and collect taxes as required under Thai tax regulations.
Fees and pricing structures may be adjusted for new engagements; changes to ongoing engagements will be communicated and implemented only with prior notice or client agreement.
Non-payment may result in suspension of services, recovery actions, and interest on overdue amounts as permitted by law. kalimiora may also retain client materials pending settlement of outstanding fees.
Professional disclaimer
Information on kalimiora.pro and advice provided by kalimiora is for informational purposes and professional legal advice to contracted clients. Content is based on facts and documents supplied by the client and applicable law at the time. Nothing in our communications should be construed as an absolute prediction of outcomes or a substitute for tailored legal advice on a specific matter.
Limitation of liability
To the extent permitted by law, kalimiora's aggregate liability arising from or related to services provided will be limited to the fees paid by the client for the specific service giving rise to the claim. kalimiora is not liable for indirect, incidental, consequential or punitive damages, except where mandatory law requires otherwise. Liability exclusions will be applied consistent with professional obligations and applicable Thai law.
Third-party relationships
kalimiora may engage third-party service providers, translators, contribute or external counsel to perform aspects of an engagement. kalimiora will seek to select reputable providers but is not liable for third-party acts or omissions beyond our direct control. Use of third-party services will be disclosed and billed as appropriate.
Termination of services
Either party may terminate an engagement in accordance with the terms set out in the engagement agreement. kalimiora may also terminate where continued representation would create a conflict of interest, violate professional rules, or where the client fails to cooperate or pay fees.
Upon termination, outstanding fees and expenses become immediately due. kalimiora may return client materials and will retain copies as required by ethical rules or law. Clients remain responsible for fees for services rendered prior to termination.
Privacy and confidentiality
kalimiora respects client confidentiality and handles personal data in accordance with the privacy policy posted on kalimiora.pro. Confidential client information will be protected consistent with professional duties and applicable data protection laws.
Communications and notices
By engaging kalimiora you agree to receive communications electronically unless otherwise requested. Notices will be sent to the contact details provided in the engagement agreement. Official notices to kalimiora should be sent to our registered office at the address listed below.
Modifications to terms
kalimiora may update these Terms of Service to reflect changes in law, services, or business practices. Material changes will be posted on kalimiora.pro with an updated effective date. Continued use after changes constitutes acceptance of the updated terms.
Governing law
These Terms of Service and any engagement agreements are governed by the laws of the Kingdom of Thailand. Disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of Thailand, in the province applicable to the engagement or as otherwise agreed in writing.
Dispute resolution
Parties should attempt to resolve disputes in good faith through negotiation. If unresolved, disputes may proceed to mediation or arbitration if mutually agreed, or otherwise to the Thai courts as provided in the governing law clause. Procedures for dispute resolution will be set out in the engagement agreement where applicable.
